Audit Committee
Independence
The Audit Committee is composed entirely of independent directors and
meets regularly in executive session without management present.
Qualifications
All members of the Audit Committee have been affirmatively determined to be
financially literate. The Chairman of the Audit Committee has been designated as
an Audit Committee Financial Expert.
Purposes and Responsibilities
The principal purposes, duties and responsibilities of the Audit Committee
(which are detailed in its Charter) include overseeing the integrity of the
Corporation’s financial statements, complying with legal and regulatory
requirements, reviewing the external auditor’s qualifications and independence
(including auditor rotation), reviewing the performance of the Corporation’s
internal audit function, and preparing the Audit Committee’s Report, which is
included in the Corporation’s annual Proxy Statement.
