Compensation Committee
Independence
The Compensation Committee is composed entirely of independent directors
and meets regularly in executive session without management present.
Purposes and Responsibilities
The Compensation Committee's principal purposes and responsibilities (as
described in its Charter) are to review and approve corporate goals and
objectives relevant to CEO and other officer compensation; evaluate the CEO’s
performance in light of those goals and objectives, determine and approve the
CEO’s compensation based on that evaluation; approve compensation,
incentive-compensation plans and equity-based plans for the Directors, other
officers, and employees; conduct an annual performance evaluation of the
Committee; and produce an annual report on executive compensation for inclusion
in the Corporation’s Proxy Statement, in accordance with applicable rules and
regulations.
