Board of Directors
The mission of the Board of Directors is to provide
strategic guidance to the Corporation's management, monitor the performance and
ethical behavior of the Corporation's management, and maximize the stockholders’
long-term value, while considering and appropriately balancing the interests of
other stakeholders and constituencies.
The Board is comprised of eight directors. Six Directors are
"independent" under the independence standards established by the
NASDAQ Stock Market, the Securities and Exchange Commission, and the Corporation’s
Corporate Governance Guidelines. Two management representatives, our CEO Frank Libutti and President Gary S.
Ryan, also serve as Directors.
